Vendor Terms

Effective date: TBD · Last updated: TBD

Draft. Pending review by counsel. Specifics — fee rates, payout schedule, dispute resolution — will be finalized before launch.

1. Scope

These Vendor Terms apply in addition to the general Terms of Use whenever you list products, accept payment, or organize a group pickup on OrganicNearby. If anything here conflicts with the general Terms, the Vendor Terms control for vendor-specific obligations.

By creating a business or claiming a listing, you confirm you have authority to bind that business and you accept these terms on its behalf.

2. Relationship

You operate an independent business. You are not an employee, agent, partner, joint venturer, or franchisee of OrganicNearby. Nothing in these terms creates such a relationship.

3. Listings and product accuracy

  • You list only products you have the legal right to sell.
  • Photos, descriptions, ingredients, allergens, weights, prices, and unit information must be accurate at time of listing and maintained over time.
  • Certifications (organic, kosher, etc.) must reflect a real certification you currently hold. We may request proof.
  • Prohibited products: illegal goods, recalled goods, controlled substances, weapons, live animals (unless permitted), tobacco, cannabis, and anything else listed on our prohibited-products page from time to time.

4. Food safety and compliance

Food safety is your responsibility. You comply with all applicable local, state, and federal laws — including cottage-food laws, dairy and meat regulations, labeling rules, sales-tax collection, and any required permits or licenses.

OrganicNearby is a marketplace platform; we do not inspect products, verify compliance, or assume responsibility for product quality or safety. You will indemnify OrganicNearby against any third-party claim arising from your products.

5. Payments and payouts

  • Stripe Connect. Payouts run through Stripe Connect. To accept payouts you must complete Stripe onboarding and accept Stripe's Connected Account Agreement and Stripe Services Agreement.
  • Platform fees. OrganicNearby charges a platform fee on each transaction. The fee rate is determined by your active plan and is visible in your business dashboard. We may change fee rates with reasonable notice; existing orders use the rate in effect at the time of order.
  • Payout schedule. Payouts are batched and released after the customer-protection window for the order has closed. Pending payouts must complete before your account can be fully deactivated.
  • Refunds and chargebacks. You authorize OrganicNearby to deduct refunds, chargebacks, and platform fees from pending or future payouts. Persistent chargeback rates may result in suspension.

6. Taxes

You are responsible for collecting and remitting any sales, use, VAT, GST, or income taxes on your sales. Where required by law, Stripe issues year-end forms (1099-K in the US) on your behalf based on the data flowing through Stripe Connect. OrganicNearby does not provide tax advice.

7. Fulfillment and pickup commitments

  • You commit to fulfilling orders accepted for any pickup window you've opted into. No-shows materially impact customers and group organizers; repeated no-shows may result in suspension.
  • When you can't fulfill, notify the relevant group organizer in advance and process timely refunds for affected orders.
  • Inventory you list as available must remain physically available for the pickup window unless you've marked it sold out.

8. Content license

You retain ownership of photos, descriptions, and other content you upload. You grant OrganicNearby a worldwide, non-exclusive, royalty-free, sublicensable license to host, display, reproduce, and distribute that content as part of operating, marketing, and promoting the service. The license survives termination only for content used in transactional records (order receipts) and historical posts.

You confirm you have the rights to grant this license for every piece of content you upload.

9. AI-assisted drafting

Some features use an AI model to draft product details and assign categories: uploading a product photo, importing products or business details from your website, and categorizing products imported from Square. For these, the relevant photo, page text or product name and description is sent to a third-party AI model provider through OpenRouter. We route these requests only to providers that do not store the data or use it for training, and we do not use your content to train any model.

The drafted output is yours to edit, accept, or reject. You remain responsible for the accuracy of any text you publish, including any AI-drafted output you accept.

10. Customer data — your role as controller

When a customer places an order with you, their order data (name, contact, pickup address, items) is shared with you so you can fulfill the order. With respect to that data:

  • OrganicNearby is the processor. We hold and transmit the data on your behalf.
  • You are the controller for the direct customer relationship — for example, using a customer's contact info to follow up about a missed pickup.
  • You will use customer data solely for fulfilling the specific order and any closely related communication. You will not add a customer to a separate marketing list without obtaining independent consent.
  • You will respond to data-subject requests (access, deletion, etc.) that we forward to you about customers within 30 days.
  • On a deletion request that reaches us, we will erase customer identifiers from order records subject to legal retention. Records you have exported or stored outside OrganicNearby remain your responsibility.

11. Group organizers

Group organizers volunteer to coordinate a pickup window. In that role:

  • You commit to running the windows you create or transferring organizer responsibility before they go live.
  • You may not charge members or shoppers separately from the platform.
  • You may not use organizer access to scrape or export member contact info for purposes unrelated to the group.
  • If you stop running the group, we may reassign or archive it.

12. Insurance

We strongly recommend product-liability and general-liability insurance appropriate to your product category. OrganicNearby does not provide insurance and is not a named insured on your policy.

13. Quality and trust

We may remove listings, suspend businesses, or terminate vendor accounts that:

  • Receive repeated and substantiated quality complaints.
  • Misrepresent products or certifications.
  • Violate food-safety or other applicable laws.
  • Engage in fraud, harassment, or platform abuse.

Where reasonable, we'll notify you and allow a cure period. For urgent risks (recalls, safety, fraud), we'll act first and notify you after.

14. Termination and effects

  • You may close your vendor account from your business dashboard at any time. Pending payouts complete first; open orders must be fulfilled or refunded.
  • We may terminate for material breach with reasonable notice or immediately for safety, legal, or fraud reasons.
  • On termination, your storefront and active listings are taken down. Order records and audit log entries remain for legal retention; we honor any data-subject request you make under our Privacy Policy.

15. Disclaimers and liability

The platform is provided "as is." OrganicNearby disclaims all warranties to the maximum extent permitted by law. Our aggregate liability to you is limited to the platform fees we collected from your business in the twelve months preceding the claim.

16. Changes

We may update these Vendor Terms. Material changes to fees, payouts, or content licensing will be notified by email with at least 14 days' notice. Continued use after a change constitutes acceptance; you may close your account before the change takes effect.
